These provisions apply alongside the Terms of Service and form part of the contract between you and Suitch when you create an account. They are presented to you at sign-up and your acceptance is recorded against your account.

§Formal provisions

Limitation of liability

To the maximum extent permitted by applicable law, the total aggregate liability of Suitch, its operators, and any person acting on its behalf, arising out of or in connection with these Terms, the Account Agreement, or your use of the service, whether in contract, tort (including negligence), statute, or otherwise, shall not exceed the greater of: (a) the total amount of fees, if any, paid by you to Suitch in the twelve months preceding the event giving rise to the liability; or (b) one hundred United States dollars (USD 100).

In no event shall Suitch be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation any loss of profits, revenue, business opportunity, employment, anticipated savings, data, or goodwill, whether or not Suitch has been advised of the possibility of such damages and regardless of the legal theory on which the claim is based.

Nothing in this section excludes or limits any liability which cannot be excluded or limited as a matter of mandatory law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.


Payments and price changes

The Terms of Service set out in detail how billing will work when paid plans are introduced. By accepting this agreement you acknowledge that: (a) Suitch may introduce paid plans at a future date, and we will give at least thirty (30) days' written notice by email before any first charge; (b) paid plans renew automatically at the end of each billing cycle until cancelled, and you may cancel at any time from your account with effect at the end of the then-current cycle; (c) we may change pricing on at least thirty (30) days' written notice by email, and you may cancel before any price change takes effect; and (d) payments will be processed by a third-party payment processor, which will be listed as a sub-processor in the Privacy Notice at the time it is engaged.


Changes to this agreement

We may update this Account Agreement, the Terms of Service, or the Privacy Notice from time to time. For material changes, we will notify you by email at least fourteen (14) days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the updated documents. If you do not agree, you may cancel your account before the effective date with no further obligation.


Severability

If any provision of these Terms or the Account Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if such modification is not possible, severed from the agreement. The remaining provisions shall continue in full force and effect.


Entire agreement

These Terms, the Account Agreement, and the Privacy Notice, together with any policy expressly incorporated by reference, constitute the entire agreement between you and Suitch concerning the service. They supersede any prior or contemporaneous communication, representation, understanding, or agreement, whether oral or written, relating to the same subject matter. No statement, undertaking, or representation made outside these documents forms part of the contract.


No waiver

Any failure or delay by Suitch in enforcing any right or provision under these Terms or the Account Agreement does not constitute a waiver of that right or any other right, and shall not preclude later enforcement.
